I can overclock it to 2.4ghz at 200mhz X 12 and have no memory errors running memtest and Super PI but when I try 200 X 12.5 i have memory errors. Why is this? I haven't overclocked the memory and the timings are at default. What should i do? (temps are at high30's low40's, and powersupply is running fine.) Please somebody help me..

because you are hitting the limits of your CPU speed. You are going to get errors when things are running too fast, regardless of what method you use to overclock. BTW, overclocking using multipliers exclusively doesn't improve your performance much at all. The added latency induced by increasing the CPU multi can actually slow things down. Your best bet is always to lower multis and raise FSB. FSB overclocks will net you the highest gains in performance. The Samsung ram is actually pretty solid. I had a stick of 256 I just bought this week that I was playing around with. I inadvertently oc'd it while cranking up a spare A64 system I have. I wanted to see what my CPU limits were and I raised FSB to 230 and booted it. It ran fine and that's when I realized that I had forgotten to throttle back the ram with the 5/6 divider. My Samsung PC3200 was running at the full 230 without a hitch and I hadn't even touched the voltage.
