I just got a Sempron 140 System and windows calls it x86 processor and will not let me use 64 bit windows.

In msinfo32 I get:

System Type: X86-based PC
Processor AMD Sempron(tm) 140 Processor, 2700 Mhz, 1 Cores(s), 1 Logical Processor(s)

Any idea why windows will not see this as an x64 processor?

In order to install a 64bit OS it is not possible to upgrade from 32bit OS. You need to install 64bit OS from scratch as a new OS install.
