Are all timings and speeds at the default values? Nothing OCed?

Did you update the BIOS to the newest revision? Some boards need a bios update to handle Opterons correctly.
Unplug everything that you don't need. Just letz 1 memory module, the CPU and the graphics card on the board. No HDD, no Floppy, no soundcard or anything else. Try to reset the BIOS (jumper) and load the optimal defaults in the BIOS. Then run memtest again.

If you did the above mentioned steps and the memory module you put in is known good it may be the board or the CPU.
Check the memory and/or CPU in another computer to get sure that these are not the reason for the errors.
Good luck.
