Wrong, only AM3 and AM3+ boards support DDR3 memory.
The 940 will NOT run on these DDR3 boards because of it's pin configuration.
Therefore, the 940 can only run on AM2 and AM2+ boards with DDR2 memory.

haha, gotcha! That is correct, it is an AM2+ processor, and has a DDR2 memory controller only, unlike e.g. the X4 945. thx NC.

The board is definitely compatible with am3 tho, and has slots for DDR3, so I am confused as to how my current chip fits if the pin config is different?? Board is an asrock n68c-s ucc

The Phenom II X4 940 is not officially listed as being supported by that board. Anyway that board supports both DDR2 and DDR3, depending processor and its internal memory controller. For that processor you need DDR2.

Interesting, your ASRock is a crossover board, it supports both DDR2 & DDR3 memory:

http://www.asrock.com/mb/overview.asp?Model=N68C-S UCC&cat=Specifications

However, you need to note that it only supports up to 95W AM2/AM2+/AM3 CPU's.
The 940 is a 125W CPU, so I would not recommend using it on this board.
Besides, the 940 IMC only supports DDR2 memory.
You will need a AM3 CPU (like the 955) to run DDR3 memory.
