This CPU came from an old Tower with a big cooling fan - which does not fit in the MicroATX case I want to use.
MB = Biostar N68S
Case = HEC 7K Series w/300watt PS

I do not plan on overclocking. Do I need a CPU Fan/Heatsink?

You did not specify which Athlon X2 it is, but yes desktop X2's need a heatsink with CPU fan.
