I am in the process of building a pc, and have a few more parts to buy. I got my cpu and heatsink at the same time. upon installing them both I noticed that black stuff squeezed out of the CPU. Supposedly it is a sealent, but i don't think it's supposed to come out. Should I RMA?

If it's soft and gooey, then yeah... that's not right.  If not, then it's probably just excess epoxy from when the heatspreader was bonded to the packaging at the factory.  If that's the case, don't worry about.
