I bought this off of amazon and it said it supposed to run at 4.2 factory, right out of the box. i used CPU-Z here is some screen shots of it.

Try using the latest version of CPU-Z which is 1.65...

Failing this, default your BIOS.

updated it and it says the same clock speed :/ how do i default bios?

The problem is that you are using BIOS version F3. According to the Gigabyte CPU Support List you need to be using BIOS version F5a.

Sorry for late response, went on vacation. My motherboard is version 5.x so i cant update to those bios' right?

Unfortunately, it looks to me this motherboard (GA-78LMT-S2P) Rev. 5.x only supports 95W TDP processors. The FX-4170 is 125W TDP. On the CPU support list from Gigabyte's website, the FX-4170 is not supported.

I suggest you look into a compatible AM3+ motherboard that will support 125W TDP AM3+ FX CPUs.
